PIVOTALPATH INC. - PIVOTAL EXPLORE

TERMS OF USE

1. Introduction and Acceptance

These Terms of Use (“Terms”) govern your access to and use of PivotalPath Inc.’s (“PivotalPath,” “we,” “us,” or “our”) PivotalExplore platform and related services (collectively, the “Services”). By accessing or using the Services, you (“Subscriber” or “you”) agree to be bound by these Terms on behalf of yourself and your organization. You further agree to be responsible for your Authorized Users’ compliance with the Terms. If you do not agree to these Terms, do not access or use the Services.

The Services provide accredited investors and qualified purchasers access to hedge fund performance data, analytics, customizable reports, and related tools. You represent that you qualify as an accredited investor as defined under Rule 501(a) of Regulation D under the Securities Act of 1933 or, if a non-U.S. person, that you are otherwise qualified to invest in pooled investment vehicles.

2. Definitions

For purposes of these Terms, the following terms have the meanings set forth below:

  • “Anonymized Usage Data” means aggregated, de-identified data about how you interact with the Services, which cannot reasonably be used to identify you or your organization.
  • “Authorized Users” means your employees, consultants, contractors, and agents whom you have authorized to access the Services on your behalf, up to the number specified in your Order Form.
  • “Documentation” means any manuals, instructions, or other materials we make available describing the features, functionality, or requirements of the Services.
  • “Order Form” means the statement of work or order document executed by the parties setting forth the specific Services, fees, and other commercial terms applicable to your subscription.
  • “Output” means any resulting data, reports, analyses and other output from the processing of Subscriber Input Data using the Services.
  • “Performance Data” means hedge fund performance information, metrics, qualitative overviews, meeting notes, market presentations, peer group information, and analytics made available through the Services. Performance Data is highly confidential and proprietary to PivotalPath.
  • “Subscriber Input Data” means information, data, and other content submitted by you or your Authorized Users through the Services, excluding Performance Data and Anonymized Usage Data. This includes Output generated from Subscriber Input data.

3. Access and License

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable right to access and use the Services during your subscription term, solely for your Authorized Users’ internal business purposes—specifically, to identify, monitor and evaluate hedge fund investments.

(e) Separate Distribution License Required. Any external distribution of Data or Derived Materials, in any form and through any medium, is expressly excluded from the scope of this Agreement and shall require a separate, written distribution license agreement executed by Licensor, with commercial terms negotiated separately. (a) Defined Terms. "AI Systems" means any artificial intelligence, machine learning, large language model, generative AI, or similar technology, including without limitation any system that ingests, processes, analyzes, or produces output based on Data.

(b) Permitted AI Use. Licensee may use Data in conjunction with AI Systems solely for Licensee’s internal productivity, research, and analytical purposes, and only within: (i) AI Systems hosted on Licensee’s own private, on-premises infrastructure; or (ii) dedicated enterprise AI environments contractually committed to Licensee under enterprise-grade terms that prohibit the provider from retaining, logging, accessing, reviewing, or using the Data to train, fine-tune, evaluate, or otherwise improve any model.

You retain all rights in your Subscriber Data. You grant us a limited license to use your Subscriber Data solely to provide the Services to you.

We will not use your Subscriber Data or Confidential Information to train, validate, or update any artificial intelligence or machine learning model, or as input or prompts for any AI technology, without your prior written consent. You may withhold or withdraw such consent at your sole discretion.

We may collect and use Anonymized Usage Data—aggregated, de-identified data that cannot identify you or any Authorized User—to operate and improve the Services, including making such Anonymized Usage Data publicly available in compliance with applicable law.

7. Fees and Payment

Subscription fees are set forth in your Order Form and are payable in U.S. dollars on the due date specified therein. All fees are exclusive of applicable taxes, which are your responsibility (other than taxes on our net income).

If any undisputed payment is more than thirty (30) days past due, we may (a) charge interest on the overdue amount at 1.5% per month, compounded monthly (or the maximum rate permitted by law, if lower), and (b) suspend your access to the Services until the overdue balance is paid in full. We will notify you in writing before exercising either remedy.

8. Confidentiality

Each party may disclose confidential, proprietary, or sensitive information to the other in connection with the Services (“Confidential Information”). Each party agrees to hold the other’s Confidential Information in strict confidence using at least the same degree of care it uses for its own confidential information, and not to disclose it to any third party except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as these Terms.

Your Confidential Information includes your Subscriber Data. PivotalPath’s Confidential Information includes the Performance Data. These Terms and your Order Form are the Confidential Information of both parties.

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party at the time of disclosure; (c) is received from a third party without restriction; or (d) is independently developed without reference to the disclosing party’s Confidential Information.

Either party may disclose Confidential Information to the extent required by law, provided that, to the extent legally permissible, the disclosing party gives as much prior written notice as reasonably practicable and reasonably cooperates with the other party’s efforts to seek a protective order.

These confidentiality obligations survive termination or expiration of these Terms.

9. Intellectual Property

PivotalPath Ownership. PivotalPath owns all rights, title, and interest in and to the Services, Platform, Documentation, Performance Data, and all related intellectual property. Nothing in these Terms transfers any ownership rights to you.

Subscriber Ownership. You own all rights in your Subscriber Data. As between the parties, you also own all output generated solely from the processing of your Subscriber Data using the Services. You have the right to use, reproduce, and internally distribute any reports, analytics, or Output generated through your use of the Services for your internal business purposes.

Feedback. If you provide us with suggestions, ideas, or other feedback about the Services (“Feedback”), we may use that Feedback to improve our products without obligation to compensate you.

10. Suspension

We may temporarily suspend your access to the Services if:

  • We reasonably determine there is a security threat, attack, or risk to the Services or our other customers;
  • You or any Authorized User is using the Services for fraudulent or illegal purposes or in violation of these Terms;
  • Your payment is more than thirty (30) days past due (following written notice as described in Section 6);
  • Provision of the Services becomes prohibited by applicable law; or
  • A critical third-party service we rely on is suspended or terminated for reasons outside our reasonable control.

We will use commercially reasonable efforts to provide advance written notice of any suspension and to restore access as soon as the basis for the suspension is resolved. We will keep you reasonably informed throughout any suspension period.

11. Warranties

Mutual Warranties. Each party represents and warrants to the other party that:

  • it is duly organized, validly existing, and in good standing as a corporation or other entity under the laws of the jurisdiction of its incorporation or other organization;
  • it has the full right, power, and authority to enter into and perform its obligations and grant the rights, licenses, consents, and authorizations it grants or is required to grant under this Agreement;
  • the execution of this Agreement by its representative whose signature is set forth in the Statement Of Work/Order Form (SOW) has been duly authorized by all necessary corporate or organizational action of such party; and
  • when executed and delivered by both parties, this Agreement and SOW will constitute the legal, valid, and binding obligation of such party, enforceable against such party in accordance with its terms.

Your Warranties. You represent, warrant, and agree that (i) you are an “accredited investor” as defined in Rule 501(a) of Regulation D under the Securities Act and a “qualified purchaser” as defined in Section 2(a)(51)(A) of the Investment Company Act of 1940, as amended, or (ii) if a non-U.S. Person, you are otherwise qualified to invest in hedge fund funds, which shall mean any pooled or collective investment vehicle, including, but not limited to, hedge funds, liquid trading strategy funds, UCITs, mutual funds or other funds registered under the Investment Company Act of 1940, as amended, real estate funds, private equity funds, private credit and/or debt funds, etc. You hereby agree to furnish any additional information or documentation that may be reasonably requested by PivotalPath or any of its affiliates to establish your status as an “accredited investor” under the Securities Act or, if a non-U.S. Person, your other qualifications to invest in hedge fund funds.

Our Warranties. We represent and warrant that:

  • The Services and any output, when used as intended, will not infringe, dilute, or misappropriate the intellectual property rights of any third party;
  • We will comply with all applicable laws and regulations in providing the Services; and
  • We will maintain commercially reasonable administrative, technical, and physical safeguards to protect the security and integrity of the Services and your data.

Important Limitations on Services. The Services are for informational and research purposes only and do not constitute investment, legal, or tax advice. You are responsible for conducting your own due diligence before making any investment decision. 12. Indemnification

By PivotalPath. We will defend, indemnify, and hold you harmless from and against any third-party claims, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) any claim that the Services, when used as permitted by these Terms, infringe a third party’s intellectual property rights; (b) our gross negligence, willful misconduct, or fraud, or (c) our breach of any representation, warranty, covenant, or obligation under this Agreement.

If a third-party infringement claim arises, we may at our discretion: (i) modify or replace the Services to make them non-infringing while preserving substantially equivalent functionality, or (ii) obtain the right for you to continue using the Services. If neither option is reasonably available, we may terminate these Terms and will promptly refund any prepaid, unused fees.

By You. You will defend, indemnify, and hold PivotalPath harmless from and against any third-party claims, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services in violation of these Terms; (b) any unauthorized modifications to the Services made by you; (c) your gross negligence, willful misconduct, or fraud; or (d) your breach of any representation, warranty, covenant, or obligation under this Agreement.

Indemnification Procedure. The indemnified party will: (a) promptly notify the indemnifying party of any claim (provided that delay will not relieve indemnification obligations except to the extent the indemnifying party is prejudiced); (b) give the indemnifying party reasonable control over the defense and settlement (provided that no settlement may impose liability or obligations on the indemnified party without its consent); and (c) provide reasonable cooperation at the indemnifying party’s expense.

13. Limitation of Liability

Exclusion of Certain Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR A PARTY’S OBLIGATIONS UNDER SECTIONS 4, 7, 8, OR 11 (“EXCLUDED CLAIMS”), NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR LOSS OF GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Liability Cap. EXCEPT FOR THE EXCLUDED CLAIMS, NEITHER PARTY’S TOTAL AGGREGATE LIABILITY TO THE OTHER PARTY ARISING OUT OF OR RELATED TO AN SOW UNDER THESE TERMS WILL EXCEED THE FEES PAID OR PAYABLE BY YOU IN THE TWELVE (12)-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Term and Termination

Term. Your subscription begins on the start date in your Order Form (SOW) and continues for the initial subscription period specified therein. Unless either party provides the other with written notice of non-renewal at least thirty (30) days before the end of the then-current term, the subscription will automatically renew for successive one (1)-year terms.

Termination for Cause. Either party may terminate these Terms effective upon written notice if the other party materially breaches these Terms and fails to cure that breach within thirty (30) days after receiving written notice of it (or immediately if the breach is incapable of cure).

Additional Termination by PivotalPath. We may terminate these Terms immediately upon written notice if you fail to pay any undisputed fees within thirty (30) days of receiving written notice of the failure, or if you materially breach the acceptable use restrictions in Section 4.

Effect of Termination. Upon termination or expiration of these Terms, you must stop using the Services. Except where you terminate for our material breach or our failure to meet the availability standard, all undisputed fees accrued through termination remain payable. If you terminate for our material breach or failure to meet the availability standard, we will refund any prepaid fees attributable to the post-termination period within thirty (30) days on a pro-rata basis.

Subscriber Data After Termination. You may retain copies of reports, analytics, and other outputs you generated through the Services to the extent retained in accordance with your standard recordkeeping, compliance, audit, or backup policies, subject to the confidentiality obligations of Section 7. We will return or certify destruction of your Confidential Information upon your written request.

Survival. The terms herein which by their nature are intended to survive termination or expiration of these Terms shall survive any such termination and expiration.

15. General Provisions

Changes to These Terms. We may update these Terms from time to time. We will provide you with at least thirty (30) days’ prior notice of any material changes. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to updated Terms, you may terminate your subscription before they take effect.

Governing Law. These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms will be subject to the exclusive jurisdiction of the federal or state courts located in New York County, New York.

Assignment. Neither party may assign these Terms without the other party’s prior written consent (not to be unreasonably withheld), except that either party may assign these Terms without consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

Force Majeure. Neither party will be liable for failure or delay in performance caused by circumstances beyond its reasonable control (excluding payment obligations), including acts of God, natural disasters, war, terrorism, civil unrest, government actions, or labor disputes not involving the affected party’s workforce. If we cannot provide the Services due to such circumstances, you will not be charged for the affected period.

Equitable Relief. A breach of Section 4 (Acceptable Use) or Section 7 (Confidentiality) may cause irreparable harm for which monetary damages are an inadequate remedy. Either party may seek equitable relief, including injunctive relief, without the requirement to post bond or prove actual damages.

Notices. Notices under these Terms must be in writing and delivered by email (with confirmation of receipt), overnight courier, or certified mail to the addresses set forth in the applicable Order Form.

Amendments. No amendment to these Terms by you is effective unless agreed in writing by authorized representatives of both parties.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect, and the parties will negotiate in good faith to replace the invalid provision with one that most closely achieves the original intent.

Public Announcements. Neither party will issue any press release or public statement referencing the other party or this relationship without the other party’s prior written consent, not to be unreasonably withheld.

Export Compliance. Both parties will comply with all applicable export control laws and regulations in connection with the Services.

Entire Agreement. These Terms, together with your Order Form (SOW) and any exhibits incorporated by reference, constitute the entire agreement between the parties regarding the Services and supersede all prior agreements and understandings on that subject.
